Agreement to Terms

Welcome to Cellular CareWorld Federation. By accessing or using our website, services, and cooperative platforms (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and Cellular CareWorld Federation ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

Eligibility and Account Registration

Age Requirement

You must be at least 18 years old to use our Services, create an account, or become a member of any cooperative. By using our Services, you represent and warrant that you meet this age requirement.

Account Security

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy. We reserve the right to suspend or terminate accounts that contain false or misleading information.

Cooperative Membership

Membership Terms

Membership in any Cellular CareWorld cooperative (DocWorld, NurseWorld, LegalWorld, etc.) is subject to additional terms specific to each cooperative. By joining a cooperative, you agree to abide by its charter, bylaws, and governance structure.

Founding Member Status

Founding members are early supporters who join cooperatives during their formation phase. Founding member benefits, rights, and responsibilities are defined by each cooperative's charter and may include governance participation, profit-sharing, and priority access to services.

Membership Fees

Membership fees vary by cooperative and membership tier. All fees are processed through Stripe, our third-party payment processor. Fees are non-refundable unless otherwise specified in the cooperative's specific terms or required by law.

Termination of Membership

You may terminate your cooperative membership at any time by contacting the cooperative's administration. We reserve the right to terminate memberships for violation of these Terms, cooperative bylaws, or applicable laws. Upon termination, your access to member-only benefits and services will cease.

Use of Services

Permitted Use

You may use our Services for lawful purposes only and in accordance with these Terms. You agree not to use the Services:

• In any way that violates applicable federal, state, local, or international law or regulation
• To transmit or procure the sending of any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
• To introduce any viruses, malware, or other harmful code
• To attempt to gain unauthorized access to any portion of the Services or any other systems or networks

Content Standards

Any content you submit, post, or transmit through the Services must comply with applicable laws and must not be defamatory, obscene, threatening, harassing, or infringing on intellectual property rights. We reserve the right to remove any content that violates these standards.

Intellectual Property Rights

Our Content

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Cellular CareWorld Federation, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for personal, non-commercial purposes. This license does not include any right to resell or commercial use of the Services or their contents, any collection and use of product listings or descriptions, any derivative use of the Services or their contents, or any use of data mining, robots, or similar data gathering and extraction tools.

User Content

By submitting content to the Services, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the Services. You retain all ownership rights in your content, but you grant us the rights described above.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components. We do not warrant or make any representations regarding the use or the results of the use of the Services in terms of their correctness, accuracy, reliability, or otherwise.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CELLULAR CAREWORLD FEDERATION, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to defend, indemnify, and hold harmless Cellular CareWorld Federation and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Dispute Resolution

Governing Law

These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles.

Informal Resolution

Before filing a formal dispute, you agree to first contact us and attempt to resolve the dispute informally by sending a written notice describing the nature and basis of the claim and the relief sought. We will attempt to resolve the dispute within 60 days of receiving your notice.

Arbitration

If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in Colorado, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. To the fullest extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and you waive any right to participate in a class-action lawsuit or class-wide arbitration.

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cellular CareWorld Federation regarding the Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.
